Accounts Overdue? A Calm, Step-by-Step Plan to Get Back on Track

Discovering that your company's accounts are overdue triggers a very specific kind of dread — usually when a brown envelope from Companies House lands, or a client runs a credit check and asks questions. Here is the reassuring truth first: late accounts are one of the most common problems small companies have, they are fixable, and the worst possible strategy is the one most people attempt — ignoring the letters and hoping.

Directors who sort it out quickly usually follow the same route: establish exactly what is outstanding, prepare the missing accounts from whatever records exist, and file. Specialist help with overdue company accounts filing in London exists precisely because this situation is so common among small companies whose directors are busy running the business.

What happens when accounts are late

Companies House applies an automatic civil penalty the day the deadline passes. For a private company the scale is £150 for up to one month late, £375 up to three months, £750 up to six months and £1,500 beyond that — and the penalty doubles if accounts are filed late two years in a row. The official guidance on annual accounts deadlines and penalties confirms the scale and the deadlines themselves: nine months after your accounting reference date for a private company. Crucially, paying the penalty does not remove the duty to file — the accounts themselves are still owed, and continued failure invites prosecution of the directors and, ultimately, the company being struck off and dissolved, with its bank account frozen and assets passing to the Crown.

The recovery plan

Step one is a fact-finding pass: check the Companies House overview for your company to see which periods are outstanding and what has already been filed. Step two is records: bank statements are the backbone — a full set for each missing period lets an accountant rebuild the books even if invoices and receipts are patchy. Step three is preparation and filing, oldest period first. Step four is the penalty: it stands in most cases, but filing promptly stops the escalation and, where there are genuinely exceptional circumstances, an appeal can be made with evidence.

How to stop it happening again

Every repeat case shares a root cause: no system. Fix it with three small things — a compliance calendar with the accounts deadline, Corporation Tax date and confirmation statement date; monthly bookkeeping rather than an annual reconstruction; and an accountant who files for a fixed fee and reminds you before, not after, the deadline.

Late accounts feel like a crisis, but in practice they are a queue of paperwork with a known order. Start at the front of the queue, file what is owed, and the problem shrinks to a penalty notice and a lesson learned.
